Master Terms of Use

Welcome to Eazli.

Eazli is a brand and platform operated by Future Living LLC (KSA), a company incorporated in the Kingdom of Saudi Arabia ("Company", "Eazli", "we", "us", "our"). The Company provides website and application features, digital services, and related products and software when you visit, access, or use the Eazli website/app, mobile applications, or any software and services we provide in connection with the foregoing (collectively, the "Platform").

A. Terms of use

1. Acceptance; Binding Agreement

By accessing, registering, and/or continuing to use or access the Services, you agree to be bound by these Master Terms of Use and the Legal Documents with immediate effect. These Master Terms of Use and Legal Documents are subject to amendment by us at any time. Your continued use of the Platform following the posting of any changes constitutes your agreement to these Master Terms of Use and the Legal Documents as amended.

2. Definitions

• "Platform" means Eazli's website, mobile apps, APIs, and related services.
• "Services" means the Platform services provided by Eazli as an intermediary marketplace, including listing, search, matching, communications, booking/coordination tools, payment facilitation, and AI assistance.
• "User" means any person or entity accessing or using the Platform.
• "Buyer"/"Customer" means a User who requests, books, or purchases Products/Services from a Provider.
• "Seller" / "Vendor" / "Service Provider" / "Provider" means a User (or business) that lists, offers, supplies, or performs Products or Services via the Platform.
• "AI Agent" means an AI-enabled automated tool that may search, compare, draft messages, coordinate bookings, or propose terms on your behalf (where enabled), and may be referred to by human names or personas, including, but not limited to, Zeina, Adam, or Noura.
• "Hallucination" means an AI Output that is inaccurate, incomplete, misleading, fabricated, or not grounded in verified information.

3. Eazli's Role: Intermediary Marketplace

1. Eazli operates as an intermediary marketplace and technology platform. Unless expressly stated in a separate written agreement, Eazli is not a party to the contract between Buyer and Seller, does not own, manufacture, inspect, or control listed items/services.
2. The binding contract is formed directly between Buyer and Seller. Any dispute about the product/service (quality, safety, delivery, warranties) is primarily between Buyer and Seller.

4. Eligibility

You may register as a buyer or as a seller/vendor and use the Eazli Platform and Services if you meet the following eligibility criteria:

4.1 Buyers

1. You are of legal age to purchase and to enter into binding contracts in your country of residence, and in any case not less than 18 years unless applicable law provides otherwise.
2. You can provide a delivery address within the Kingdom of Saudi Arabia (and any other territories enabled by Eazli and disclosed on the Platform from time to time).
3. You provide accurate and up-to-date contact information (including mobile number and email) and agree to verification measures (e.g., OTP) when requested.

4.2 Sellers/Vendors

1. You are a duly established legal entity (or a licensed individual if permitted by Eazli policies) registered in accordance with applicable laws.
2. You hold and will maintain the required registrations and licenses (e.g., commercial registration, trade/activity licenses, and any sector-specific approvals) relevant to the Products/Services you offer.
3. You provide proof of authorization for the individual who will register and operate the account on behalf of the entity, and valid identification for such authorized person.
4. You provide supporting banking details for verification and settlements (e.g., IBAN, beneficiary name, bank name), and any additional verification information required by Eazli and/or payment service providers.
5. You acknowledge and agree that certain Product/Service categories may be subject to additional requirements (e.g., certificates, compliance documents, permits, safety approvals), and you will provide them upon request and prior to or during listing.

4.3 Registration Information and Verification

1. To register, you must provide certain information. Your registration may be rejected or suspended if you fail to provide required information or if any information is inaccurate or incomplete.
2. Eazli reserves the right to decline, refuse, or limit any registration or activation request (in whole or in part) without providing reasons, and to conduct such checks as Eazli deems necessary to verify identity, eligibility, and compliance (including requesting additional documents and periodic re-verification).
3. You must keep your registration information current and promptly update any material changes.

5. Account & Security

1. You are fully responsible for your account activity and maintaining password confidentiality.
2. We may suspend accounts for suspected violations (e.g., multiple failed logins or fraudulent transactions).
3. Notify us immediately of any unauthorized access at: support@eazli.com.

6. License to Use

1. Eazli grants you a limited, non-exclusive, non-transferable license to access the platform for personal/commercial use as intended.
2. Prohibited: Reverse engineering, copying code, or creating derivative works.
3. All platform IP (including AI models) owned by Eazli.

7. AI-Specific Terms

Eazli uses generative AI agents (including, but not limited to, Zeina, Adam, or Noura) for recommendations, matching, and automated transactions:

1. Accuracy & Hallucinations: AI outputs are automated and not guaranteed accurate or complete. Errors, hallucinations, or inappropriate results may occur due to training data limitations. You must independently verify all AI suggestions before acting (e.g., check product details or transaction terms). Eazli may display a notice at the bottom of each AI chat or result stating that AI outputs can make mistakes and that you should double-check before acting.
2. Verification duty. Buyers and Sellers must independently verify all deal terms (price, quantity, specifications, delivery, licensing, and legality) and AI suggestions before concluding any transaction.
3. Bias & Fairness: We strive to minimize bias and promote fairness but cannot guarantee absence due to data complexities. Report suspected bias via support or support@eazli.com.
4. IP & Originality: AI-generated content not guaranteed original or free from third-party claims. You are responsible for any use.
5. AI outputs do not create binding obligations. The final transaction and its terms remain solely between Buyer and Seller; Eazli is an intermediary.
6. No high-stakes reliance; mandatory review of AI Outputs. You are advised, and encouraged at all times, to review and validate all AI Outputs and any automated decisions before acting on them. You must exercise independent judgment and implement appropriate human oversight. Do not rely on AI Outputs as the sole basis for any critical, high-stakes, or material decisions. You retain the right to request human review of significant automated decisions (e.g., major matching), and you acknowledge that it is your responsibility to ensure such review occurs where appropriate.
7. Data Use: Your interactions may improve AI models with explicit consent (opt-out available).

8. Intellectual Property Rights

Except for the rights expressly granted under these Terms:

8.1 Eazli Platform IP. The Platform, the Services, and all content made available by Eazli on or through the Platform (including without limitation text, graphics, user interface, logos, designs, photographs, videos, audio, digital downloads, software, and compilations) are owned by Eazli or its licensors and are protected by applicable intellectual property laws. Eazli (and/or its licensors) retain all rights, title and interest in and to the Platform and the Services, including all Intellectual Property Rights therein.

8.2 User Content Ownership. You retain ownership of any information, materials, data, or other content that you submit, upload, post, list, transmit, or otherwise make available through the Platform ("User Content"), including all Intellectual Property Rights therein. Nothing in these Terms transfers ownership of your User Content to Eazli.

8.3 License to Eazli. By providing User Content, you grant Eazli and the Eazli Parties a worldwide, non-exclusive, royalty-free, fully paid-up, sublicensable (through multiple tiers), transferable license to host, store, use, reproduce, display, distribute, communicate to the public, adapt, translate, modify (for formatting and technical purposes only), and otherwise exploit such User Content as necessary to:

1. operate, provide, maintain, secure, and improve the Platform and Services;
2. display and promote Listings and related content on the Platform and through Eazli's marketing channels;
3. facilitate transactions, payments, fulfilment support, customer service, and dispute resolution; and
4. comply with applicable law, enforce these Terms, and protect Eazli and users.

Seller Brand & Product Content. If you are a Seller/Vendor, you represent and warrant that you own or have all necessary rights to the User Content you provide (including product images, descriptions, trademarks, and brand assets) and that Eazli's use of such User Content as permitted by these Terms will not infringe any third-party rights.

Trademarks. "Eazli" and all related names, logos, product and service names, designs, and slogans are trademarks of Eazli or its licensors. You may not use any Eazli trademarks without Eazli's prior written consent, except as expressly permitted in writing by Eazli. Nothing in these Terms grants you any right in Eazli's trademarks or branding.

Feedback. If you provide suggestions, ideas, or feedback to Eazli ("Feedback"), you grant Eazli a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate such Feedback without compensation or attribution.

Reservation of Rights. All rights not expressly granted to you are reserved by Eazli and its licensors.

B. Marketplace Terms

1. Buyers

1. Review listing details (specs/condition), total price, delivery timeframe, and return/refund terms before placing an order.
2. Verify any AI-assisted suggestions before purchase; AI outputs are informational and do not replace your own verification.
3. Pay on time for confirmed orders unless you have a valid reason under Eazli policies (e.g., seller cancellation, material listing error).
4. Use the Platform in good faith and do not place fraudulent orders, abuse returns/refunds, or submit false disputes.
5. Protect your account: keep your login credentials confidential and accept responsibility for activity under your account; notify Eazli immediately of any suspected unauthorized access or security breach.

2. Sellers/Vendors

1. You are solely responsible for product/service conformity (accurate description, specs, authenticity, safety), quality, defects/non-conformity remedies, and all compliance (licenses, permits, taxes, invoicing, sector requirements).
2. You bear direct liability to buyers for fulfillment, after-sale obligations (where applicable), and timely delivery/performance within the displayed timeframe; you must promptly notify buyers of material delays and handle cancellations/refunds as required by law and Eazli policies.
3. Ensure listings, advertising claims, images, and pricing are truthful, not misleading, and do not use any trademark/logo/content without lawful rights; you must not sell counterfeit, stolen, or unlawfully obtained items.
4. Customer data restriction: any buyer information shared for order fulfillment may only be used for that purpose (and legitimate after-sale support) and must not be used for off-Platform marketing, solicitation, or shared with third parties except as required by law or requested by Eazli.
5. Cooperate with verification: provide true, accurate, current and complete information and cooperate with KYC/eligibility requests, additional documents, and compliance checks.

3. Prohibited Conduct (All Users)

When using or accessing the Services, you agree that you will not:

1. Post, list, upload, transmit, or otherwise make available any content that is unlawful, defamatory, obscene, hateful, privacy-invasive, deceptive, or that promotes money laundering, fraud, or gambling.
2. Offer, list, or facilitate items/services in prohibited or restricted categories, including (without limitation):
   1. alcohol, tobacco/nicotine products, narcotics, psychotropic substances, controlled medicines (unless authorized and permitted by law/policy);
   2. weapons and weapon parts, ammunition, or items primarily intended to cause harm;
   3. gambling services/credits or items promoting gambling;
   4. securities or regulated financial instruments (shares, bonds, debentures) unless expressly permitted by law and Eazli;
   5. items that threaten public safety or national security;
   6. live animals, animal parts, or preserved specimens, where prohibited or restricted;
   7. hazardous chemicals or restricted materials;
   8. non-transferable vouchers/credits or instruments that you are not authorized to sell/transfer;
   9. counterfeit, stolen, defective, unsafe, or misleading items.
3. Circumvent or breach any applicable law, third-party rights, or Eazli systems/policies; attempt to bypass account restrictions or enforcement actions.
4. Use contact information obtained through a transaction to solicit off-Platform sales or direct users to another website/channel to avoid Platform fees or controls.
5. Manipulate prices, interfere with other users' listings, undermine the feedback/ratings system, or post fake reviews/ratings.
6. Transfer or sell your account or allow third parties to access it without Eazli's prior written consent.
7. Send spam, unsolicited/bulk communications, malware, viruses, or any technology that may harm the Services or other users.
8. Infringe any Intellectual Property Rights of Eazli or third parties, or harvest/collect user information without consent.
9. Circumvent any technical measures or security controls used to provide or protect the Services.

4. Transactions; Contract Formation; Fees

1. Listings are invitations to contract. A contract is formed only when Buyer and Seller confirm the order on the Platform and agree to the terms shown.
2. Eazli may charge platform/service fees disclosed at checkout or in a Seller agreement.
3. Taxes remain the responsibility of the relevant party unless stated otherwise.

5. Notice-and-Takedown for IP & AI Outputs

If you believe content or a listing infringes your IP, Report via support@eazli.com including:

1. identification of the work/right,
2. URL and details
3. contact info.

Eazli may remove/disable access and may terminate infringers. Where applicable, a counter-notice may be submitted for review.

6. Privacy and Data Protection

Eazli processes personal data in accordance with Saudi PDPL and its Implementing Regulation.

7. Warranties, Representations & Undertakings

7.1 All Users. You warrant, represent and undertake that:

1. you will fully comply and will at all times continue to fully comply with all applicable laws, statutes, regulations and governmental guidance, including (without limitation) privacy/data protection laws and content and advertising regulations;
2. you have full power and authority to enter into these Terms and the execution and performance of your obligations under these Terms does not conflict with: (i) any laws, rules, regulations or governmental guidelines to which you are subject; or (ii) any other agreements to which you are a party or otherwise bound;
3. all information you provide to Eazli (including account, identity, contact and payment information) is true, accurate, current and complete, and you will keep it updated;
4. you will not use the Platform or Services in any unlawful, fraudulent, harmful, misleading, abusive or disruptive manner.

7.2 Business Accounts. If you create or use an account on behalf of a business entity, you represent that you are authorized to act on behalf of such business and bind the business to these Terms. Such account is deemed to be owned and controlled by the business entity, and the business entity is responsible for all activity conducted through the account.

7.3 Sellers/Vendors. If you list, offer, sell or provide Products/Services through the Platform, you warrant, represent and undertake that:

1. you own, control, or have the right and authority to list and provide the Products/Services and you hold all licenses, approvals and permits required to market, sell and fulfil them;
2. your listings, descriptions, images and other content are accurate and not misleading, and comply with applicable laws (including consumer protection, advertising, pricing, product safety, labelling and any sector-specific requirements);
3. the Products/Services you list are not prohibited or restricted under applicable law or Platform policies, and you will provide compliance documentation upon request;
4. any content you submit and any Products/Services you list do not violate the rights of any third party, including (without limitation) Intellectual Property Rights (whether registered or not) and privacy or other rights anywhere in the world.

7.4 Buyers/Customers. If you purchase Products/Services through the Platform, you warrant that you will provide accurate delivery/contact details, use lawful payment methods, and follow the Platform's return/refund and dispute processes (including providing reasonable evidence when requested).

8. Warranty Disclaimer

1. Subject to any mandatory provisions of applicable law, the Platform and Services (including any AI Outputs) are provided to you on an "as is" and "as available" basis without representations, warranties or conditions of any kind. To the maximum extent permitted by applicable law, Eazli disclaims all warranties, conditions and representations, whether express, implied, statutory or collateral, including (without limitation) warranties of merchantability, fitness for a particular or general purpose, non-infringement, compatibility, and that the Services are secure or error-free, will operate without interruption, or will be provided in a timely or proper manner.
2. Nothing in these Terms excludes or limits any mandatory consumer rights or remedies that cannot be excluded or limited under applicable law.
3. Whilst Eazli attempts to be as accurate as possible, Eazli does not warrant that product descriptions, listings or other content available through the Platform (whether provided by Eazli, Sellers or third parties) is accurate, complete, reliable, current or error-free. Buyers and Sellers must independently verify all deal terms and listing details before concluding any transaction, and Sellers remain responsible for the accuracy of their listings.

9. Limitation of Liability

9.1 Non-Excludable Liability. Nothing in these Terms shall limit or exclude a party's liability: (a) for fraud, including fraudulent misrepresentation, perpetrated by that party; (b) for death or personal injury caused by the negligence of that party; or (c) for any other liability that cannot be limited or excluded under applicable law.

9.2 Exclusion of Certain Damages. Subject to clause 9.1 and to the maximum extent permitted by applicable law, in no event will Eazli, Future Living LLC, subsidiaries and their respective directors, officers, agents and employees be liable (whether based on an action or claim in contract, tort, negligence, breach of statutory duty or otherwise) for loss of profits, loss of revenue, loss of data or information, business interruption or other pecuniary loss, or for any special, indirect, incidental, consequential or punitive damages, even if advised of the possibility of such damages.

9.3 Marketplace Intermediary. To the extent permitted by applicable law, Eazli is not liable for Seller performance, product/service defects, listing accuracy, regulatory compliance of Sellers, or off-platform arrangements, except to the extent Eazli is directly responsible under applicable law.

9.4 Liability Cap (Platform). Subject to clause 9.1 and to the maximum extent permitted by applicable law, the total aggregate liability of the Eazli Parties arising out of or in connection with these Terms, the Platform or the Services (to the extent relating to Platform Services only) shall be limited to the lowest of: (a) SAR 300; (b) the total platform fees actually paid by you to the Company in the twelve (12) months immediately preceding the event giving rise to the claim.

For the avoidance of doubt, this cap applies in the aggregate to all claims and causes of action, regardless of the legal theory (contract, tort, negligence, statutory or otherwise).

9.5 Refunds Not Limited. For the avoidance of doubt, any refunds validly owed under the Platform's return/refund and dispute processes are payment adjustments and are not "damages" for purposes of this limitation of liability.

10. Dispute Resolution

1. Marketplace Disputes (Buyer–Seller): Disputes regarding product/service quality, conformity, delivery, warranties, or fulfillment are primarily between the Buyer and the Seller. In the interest of maintaining platform integrity and user experience, Eazli reserves the absolute right (but not the legal obligation) to intervene, facilitate communication, or assist with dispute resolution via its internal Dispute Center. For operational purposes, Eazli may request and review reasonable evidence (including photos, in-platform messages, and shipment/tracking information), and issue a platform decision for refund/return eligibility under the applicable Addenda.
2. Consumer Rights: Nothing in these Terms limits any mandatory consumer rights under applicable Saudi laws and regulations.
3. Internal Resolution: Users must first submit complaints through the Platform support channels or support@eazli.com. Eazli will acknowledge receipt and aim to respond within 7 business days.
4. Courts; Arbitration: For seller/vendor disputes, If you are a seller/vendor, the dispute resolution, jurisdiction/arbitration, and governing law terms applicable to you are set out exclusively in our "Vendor Agreement" and in the event of any conflict between these Terms and the Vendor Agreement, the Vendor Agreement prevails for seller/vendor transactions only. For consumer/buyer disputes, competent courts and authorities in the Kingdom of Saudi Arabia remain available.

11. Indemnity

You agree to indemnify, defend and hold harmless the Eazli Parties from and against any and all losses, damages, liabilities, penalties, fines, costs and expenses (including legal fees) arising out of or relating to any third-party claims, demands, investigations, actions or proceedings arising out of or relating to:

1. your use of the Services or Platform in breach of these Terms;
2. your violation of any applicable laws (including, without limitation, data protection, anti-spam, consumer, advertising and product compliance laws);
3. the content you post or submit, the Products/Services you list or provide, or your trademarks, including claims that such content or Products/Services infringe the Intellectual Property Rights or other rights (including privacy rights) of any third party, or are misleading, defamatory, obscene or otherwise unlawful; and
4. your breach of the warranties, representations and undertakings in clause 7.

Eazli may assume control of the defense of any claim subject to indemnity, and you agree to cooperate reasonably in the defense and settlement.

12. Termination

1. Eazli may suspend or terminate access for violations, fraud risk, legal compliance, or safety.
2. You may stop using the Platform at any time. Certain sections (e.g., liability, indemnity, dispute resolution) survive termination.

13. Force Majeure

Eazli shall not be held liable for any delay, failure, or interruption in providing the Platform or its services resulting from circumstances beyond its reasonable control ("Force Majeure"). This includes, but is not limited to: natural disasters, epidemics, pandemics, government orders or measures, and widespread disruptions in digital infrastructure, telecommunications, or internet services. Eazli commits to exerting reasonable efforts to resume services as soon as practically possible.

14. Changes to Terms

Eazli may update these Terms. Material changes will be notified via the Platform or email.

Continued use after the effective date means acceptance.

15. Governing Law

These Terms are governed by the laws and regulations of the Kingdom of Saudi Arabia. If Arabic and English conflict, Arabic prevails.
